IRS Certified PEO (CPEO)
A PEO certified by the IRS under the Small Business Efficiency Act, providing tax liability protections to clients.
An IRS Certified PEO (CPEO) is a PEO that has been certified by the Internal Revenue Service under the Small Business Efficiency Act (SBEA) of 2014. CPEO status provides important tax protections for clients that are not available when working with non-certified PEOs.
The most significant protection: when a CPEO fails to remit federal employment taxes, the client company is not held liable for those taxes. With a non-certified PEO, the IRS can pursue the client company for unpaid taxes even if the PEO collected them.
To become and remain a CPEO, a PEO must meet strict financial requirements, pass background checks, and submit to annual audits. The IRS publishes a public list of all CPEOs, which can be verified at irs.gov.
